We are a not-for-profit amateur theatre company, which is also a registered charity, run entirely by our members and volunteers, and have been providing high quality live theatre in Rockingham since 1972.

NOTICE OF SPECIAL GENERAL MEETING AND OF SPECIAL RESOLUTION.

A Special General Meeting of Rockingham Entertainers Inc. (Society) will be held at Rockingham Theatre at 8 Attwood Way, Rockingham on Sunday October 11th 2026 commencing at 1.00pm.

 

Notice is hereby given of a Special Resolution in accordance with section 51(4) of the Associations Incorporation Act 2015 that will be proposed at the Special General Meeting, namely to amend the current Constitution as follows:

1. Delete the definition of "Ordinary Member" in Rule 1 and replace with the following:

Ordinary member means a person who actively and regularly participates in the Society's business and activities, with the rights referred to in rule 7.2(b), by involvement in on-stage or off-stage roles including acting, directing, backstage, lighting and sound, props, front of house, bar duties, maintenance or other activities supporting the objects of the Society referred to in rule 3.

2. Insert the words "unless that requirement is waived by resolution of the Board where it considers that special circumstances justify such waiver" after the word "nomination” and before the word "or" in line 3 of Rule 22.

 

Copies of the existing Constitution and the above Special Resolution will be placed in the Theatre premises at 8 Attwood Way Rockingham for inspection by members for at least 21 days prior to the Special General Meeting. Inspection can occur during rehearsals on Tuesdays and Thursdays between the hours of 7.30pm and 9.30pm or at any other time/s when the Theatre premises are open. Alternatively hard copies or soft copies can be provided to members by request made to the Secretary, Mrs Helen Brown or the President Mrs Alison Gibson who can be contacted on the following email address of rtcinfoteam@gmail.com.

 

REASONS FOR PROPOSED AMENDMENT OF THE CONSTITUTION:

  1. Ordinary Members of the Society have the privilege of voting at General and Special General meetings of the Society plus are, in accordance with the Constitution, eligible to be elected to the Board of Trustees of the Society as Ordinary Board members or Office Bearers. Accordingly, the Board believes that such Ordinary members should be actively involved in the running of the Theatre given that Ordinary members can influence the current and future direction of the Society and not just pay a membership fee and do little or nothing else.

  2. Current Rule 22 provides the criteria for becoming an Ordinary Board member or holding an Office Bearer position such as President, Vice President, Treasurer and Secretary and sets out qualifying periods and conditions prior to a member becoming eligible to nominate for such positions. The qualifying period and conditions are contained in the Rules to protect the Society and to ensure that Board members and Office Bearers have the right motives and experience to justify them running and controlling the management of the Society in the best interests of all members. However, occasionally it is difficult to fill such vacancies on the Board because of the qualifying periods and conditions but there might be a member or members who, in the opinion of the Board, has the appropriate experience and motivation to become a Board member irrespective of how long he or she might have been a member. This proposed amendment gives the Board members flexibility to resolve to waive either an eligibility period or condition to allow a member to stand for election as an Ordinary Board member.

It is not proposed to change the eligibility or conditions for members to stand as Office Bearers as these important positions require evidence of experience and dedication as Ordinary Board members before eligibility to stand for an Office Bearer position is gained.

Rockingham Theatre Company is the only amateur theatre company in Rockingham and stages at least four productions each year.

We cover various genres of live theatre including comedy, drama and musicals and each production is made possible entirely by dedicated and talented volunteers from our local community and the surrounds. Everyone is made welcome.

We also run a youth program for age groups 7-11 and 12-17.

Our purpose-built theatre has a tiered seating capacity of 117 and wheelchair access. All the funds raised from our shows is used to produce future entertainment and to maintain and upgrade our facilities. We receive no government or other funding other than any grants that we apply for and receive, We are also a tax-deductible gift receipient, so any monetary donation over $2.00 can be claimed as a tax deduction. The theatre is available for hire at reasonable cost for speech nights, lectures, networking events or other functions and has a bar and kitchen. Hirers are responsible for obtaining any licenses required e.g. an Occasional Liquor Licence.
